1. Services Description
Logistics IMS provides import/export logistics services including but not limited to product sourcing, freight forwarding, customs brokerage, supplier management, and shipment tracking. Specific service scope, pricing, and deliverables are defined in individual quotations and service agreements.
2. Quotations and Orders
- All quotations are valid for the period stated therein (typically 14–30 days) and subject to supplier availability and market conditions.
- Orders are confirmed upon written acceptance of a quotation and receipt of any required deposit or advance payment.
- Prices quoted in foreign currencies are subject to exchange rate fluctuations at the time of payment.
- We reserve the right to revise quotations if product specifications, quantities, or shipping requirements change after issuance.
3. Payment Terms
- Payment terms are specified in each quotation and may include deposits, milestone payments, and balance due before shipment release.
- Late payments may incur interest charges and may result in shipment holds or suspension of services.
- All bank transfer fees and currency conversion costs are the responsibility of the client unless otherwise agreed in writing.
- Refunds, where applicable, are processed according to the cancellation policy outlined in the relevant quotation or agreement.
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete product specifications, shipping details, and documentation
- Ensure imported products comply with local regulations, licensing requirements, and standards (e.g., SASO in Saudi Arabia)
- Respond promptly to requests for information needed to process orders and clear customs
- Inspect goods upon delivery and report any discrepancies within 48 hours
5. Shipping and Delivery
- Estimated delivery times are indicative and not guaranteed. Delays caused by customs, weather, carrier issues, or force majeure events are not grounds for penalty claims against Logistics IMS.
- Risk of loss transfers to the client upon delivery to the designated address or port of discharge, as defined in the Incoterms specified in the quotation.
- Clients are responsible for arranging last-mile delivery, unloading, and storage unless explicitly included in the service agreement.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Logistics IMS shall not be liable for indirect, incidental, special, or consequential damages including lost profits, business interruption, or product spoilage. Our total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific transaction giving rise to the claim.
Cargo insurance is recommended and available upon request. Unless explicitly arranged and paid for by the client, shipments are not insured by default beyond carrier standard liability limits.
7. Intellectual Property
All content on this website — including text, graphics, logos, and software — is the property of Logistics IMS or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without prior written consent.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary business information, pricing, supplier details, and trade secrets disclosed during the course of the business relationship, except as required for service fulfillment or by law.
9. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, pandemics, wars, government actions, port closures, strikes, or carrier disruptions. Affected parties must notify the other promptly and use reasonable efforts to mitigate impact.
10. Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or our services shall first be attempted to resolve through good-faith negotiation. Unresolved disputes shall be submitted to the competent courts in Riyadh, Saudi Arabia.
11. Website Use
- You may not use our website for unlawful purposes or to transmit harmful code
- We reserve the right to modify, suspend, or discontinue website features without notice
- Account credentials must be kept confidential; you are responsible for all activity under your account
12. Amendments
We may update these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
